MINUTES OF MEETING OF

THE BOARD OF DIRECTORS OF

THE RIVER HILLS FOUNDATION, INC

February 1, 2006

A meeting of the Board of Directors of the River Hills Foundation was held at the Village Hall in the Village of River Hills on Wednesday, February 1, 2006, at 4:30 p.m. pursuant to notice given to all directors.  Roll call indicated the presence of President Anne Vogel, Treasurer Stacy Terris, Secretary Jill Pelisek and Directors Robert Brunner, Mary Ann LaBahn, Douglas MacNeil, Liza Perry and Kristin Severson.  Absent were Vice President Donald Baumgartner, Julie Koss and Richard Glaisner.   Tom Tollaksen, Village Manager and Linda Lemmen, Deputy Clerk was also present.

President Vogel began the meeting with a brief statement in tribute to Norm Paulsen, a past President and Director, who had passed away in January, 2006.  His enthusiasm, vision, and accomplishments on behalf of the Foundation were appreciated by all.  New members to the Board were welcomed: Kristin Severson, daughter of Carl Weigell who was an original director of the Foundation, and also Julie Koss and Dick Glaisner, who were not available to be at this meeting.  Diane Zore did not accept her nomination to the Foundation Board at this time.

Mary Ann LaBahn moved, Stacy Terris seconded to approve the minutes of the last meeting held on December 14, 2005.  Motion carried unanimously.  Treasurer Stacy Terris presented a year end report summarizing the revenues and expenditures for 2005 with a 12/31/05 balance of $64,673.66.  Contributions for the year were $12,350, book sales were $2,374 and the bank interest was $268.  The Board then reviewed the TreasurerŐs report for the month of January, 2006.  The balance at 1/31/06 was $68,098.66.  Robert Brunner moved to accept both the 2005 yearly report and the January 2006 monthly report as presented.  Jill Pelisek seconded the motion which carried unanimously

Mr. Terris reported that 947 of the 2000 history books have been sold with approximately $27,000 from sales.  Additional discussion regarding the possibility of gifting a history book to new residents, upgrading the discount for multiple book purchases and extra marketing efforts to increase book sales was held.

Village Manager Tom Tollaksen stated that the Glendale Senior Citizens group had requested funds from the Foundation to assist in providing an elevator access to their meeting room at the Glen Hills Middle School in Glendale.   The Senior Citizens group claimed they have members from all north shore communities.  Mr. Tollaksen will get additional information concerning how many River Hills residents are using the facility.  Mary Ann LaBahn suggested an article be put in the newsletter.

Discussion then ensued about the number of members on the Foundation Board.  Secretary Jill Pelisek proposed to increase the number of members on the Foundation Board from the original 6 members to 11 members.  Mary Ann LaBahn then made a motion to increase the number of directors on the Foundation Board to eleven.  Liza Perry seconded the motion, which carried unanimously.

President Vogel reviewed a 1992 Resolution from the Foundation, which presented various guidelines for funding future projects. The Board considered several options such as environmental education programs for water quality, noise pollution, forestry, and use of landscape chemicals; funding for arts programs in schools, assistance to local library requests, funding for law enforcement educational programs; and updating medians and cul-de-sacs in the Village.  Everyone agreed that funding of any project should go to enduring causes, which would significantly benefit the Village and its community.  Tom Tollaksen will procure the needs of the North Shore Library and the River Hills Police Department, Anne Vogel will pursue the Committee on the Environment for their requests and Kristin Severson volunteered to look for information regarding the needs of local schools in their arts programs.  The date of the next meeting was not set and will depend on the efforts of the members to get information concerning future funding requests.
